Proceeding contribution from Lord Hodgson of Astley Abbotts (Conservative) in the House of Lords on Monday, 30 January 2006. It occurred during Debate on bill and Committee proceeding on Company Law Reform Bill [HL] 2005-06.

Company Law Reform Bill [HL]

moved Amendment No. 23:"Page 11, line 2, at end insert—" ““(   )   If there is a conflict between a provision, which immediately before the commencement of this Part was contained in a company’s memorandum of association, and a provision contained in the company’s articles of association, the former shall prevail.”” The noble Lord said: This is another amendment that the Law Society is keen on promulgating. It seeks to provide a resolution for any clash that occurs when existing provisions in a company’s memorandum are transferred to its articles. At present, where there is a conflict between the provisions of a company’s memorandum of association and the articles of association, the memorandum prevails. [The Sitting was suspended for a Division in the House from 4.52 to 5 pm.]
