Proceeding contribution from Lord Razzall (Liberal Democrat) in the House of Lords on Monday, 30 January 2006. It occurred during Debate on bill and Committee proceeding on Company Law Reform Bill [HL] 2005-06.
Company Law Reform Bill [HL]
I give general support to the point made by the noble Lord, Lord Hodgson. My noble friend Lord Sharman and I tabled Amendment No. 45, which has the same substance as the amendment tabled by the noble Lord. To a number of people, it seems strange that the legislation permits a public company which has a director, directors and a secretary to execute documents under the signature of the director and the secretary; but where a private company has elected to retain the secretary, the provision will not be the same as for a public company, which would reflect the current position. Whatever wording the Minister thinks would be appropriate, that is the substance of this amendment.
