To ask the Chancellor of the Exchequer, whether she plans to take steps to stop joint ventures using corporation tax reliefs through the purchase or transfer of trading losses.
Group relief allows the transfer of allowable losses from one company to another in the same group. Consortium relief is a type of group relief which allows companies that jointly own another company (a consortium company) to obtain relief for their share of that company’s tax losses, so that they are taxed on a measure of profits that reflects losses they may make from their participation in a joint venture.
For these reliefs to apply, groups and consortia must meet certain eligibility criteria. For example, both types of relief are available to companies that have specific shareholding ownership relationships and are subject to UK Corporation tax. Joint ventures must meet the eligibility criteria to claim relief which is limited by reference to the proportion of member’s economic interest in the consortium company.
Existing legislation already contains targeted anti‑avoidance provisions designed to prevent the exploitation of losses, and the Government keeps these rules under review.

The requirement for National Health Service controlled providers to hold a licence comes into effect on 1 April 2018. No applications for the NHS controlled provider licence or requests to withdraw a provider’s current licence have formally been considered by NHS Improvement.
NHS Improvement has written to a small number of providers that they believe may meet the definition for the new NHS controlled provider licence and providers that were seen as likely to meet the criteria were also approached during the course of the consultation with an opportunity to respond with their views.
It is not appropriate at this stage to name these organisations as the decision regarding their need for an NHS controlled provider licence is yet to be made and the process needs to run its course.

Section 39 of the National Health Service Act 2006 requires NHS Improvement (Monitor) to maintain a register of National Health Service foundation trusts including their annual accounts and reports. This section of the Act applies to foundation trusts but it neither applies to independent providers of NHS services nor will it apply to NHS controlled providers. However, under section 93 of the Health and Social Care Act 2012, NHS Improvement must maintain and publish a register of persons who hold an NHS provider licence. The names and addresses of NHS controlled providers will be included in this register.
In the case of NHS controlled providers which are formed as companies or limited liability partnerships, some documents (statutory accounts and reports) will be filed annually with other regulators such as Companies House or The Office of the Regulator of Community Interest Companies.
Forward planning documents submitted to NHS Improvement by NHS controlled providers are expected to be commercially sensitive information and held in confidence.
To ask the Secretary of State for Health and Social Care, what steps he is taking to ensure that no entity will be granted a licence under NHS Improvement's new guidance on the oversight of NHS-controlled providers until after the conclusion of the national consultation on accountable care organisations.
To ask the Secretary of State for Health and Social Care, what steps he is taking to ensure that no entity will be granted a licence under NHS Improvement's new guidance on the oversight of NHS-controlled providers until after the conclusion of the national consultation on accountable care organisations.
No accountable care organisations (ACOs) currently exist and they will not exist until NHS England has completed a full consultation. No commissioner will be able to use the draft ACO Contract unless NHS England makes it available following the end of a proposed consultation exercise. NHS England would only consider making the contract available after carefully considering consultees’ responses to the consultation.
Guidance on whether an organisation is required to hold an National Health Service provider licence – known as the licence exemptions regulations – is published by the Department. A provider which holds the ACO contract will be subject to the same NHS Improvement provider license requirements as any other provider of NHS services.
The licence exemptions regulations have not been affected by NHS Improvement’s guidance on NHS-controlled providers, which instead outlines changes to the oversight to which a small number of providers that are already required to hold a licence are subject.

Our Priority is the continuity of public services.
Contractually, the partners to those Joint Ventures are required to deliver the requirements of the Joint Venture if one of the partners fails.
We routinely stress-test contracts to ensure that if one party within a contract fails to deliver, the other parties involved will step in to complete the work. Individual contracts for these Joint Ventures are not held centrally.
