London and South Eastern Railway Limited (LSER) were within the contractual financial ratios and the Department was not required to give approval to allow it to make the dividend payment.
The dividend payment was therefore a matter for LSER and its owning group.

The Department continues to engage with the Independent Committee, formed by the Chairs of Go-Ahead Group and Keolis UK, to correctly identify all historic balances relating to the London South Eastern Railway (LSER) franchise which are due back to the Department. This includes the correct level of profit due through contracted ‘profit share’ arrangements.

The Independent Committee, formed by the Chairs of London and Southeastern Railwayâs joint-owning groups, Go-Ahead and Keolis, has now provided the Department with its final report. The Department is carefully considering the contents of the final report and next steps are being worked through as a priority with key decisions expected to be confirmed shortly. The Department continues to progress discussions with Govia Thameslink Railway on a new National Rail Contract to operate Thameslink, Southern & Great Northern franchise, but the outputs of the final report will help determine if it is appropriate to enter into this contract.

In Spring 2021, officials became aware of the most material matters, that LSER had concealed over £25m of taxpayer funding due back to the Department. Due to the complexity of the issues involved we took action as soon as reasonably practical with investigations still on-going.

The Department is engaging with a non-executive committee formed of the Chairs of both Govia owning groups, who are leading an investigation into the issues. However, due to the unique arrangements of the HS1 contract, there is no reason to believe the issues will be present on other TOCs.

Under EMA’s, Operators will be paid a maximum of 2% of the cost base of the franchise before the COVID-19 pandemic began, with an element of the fee conditional on operators meeting performance, passenger experience and efficiency targets.
The Management Fee is a fixed periodic fee, and is payable at the end of the EMA whilst the Performance Fee covers the EMA Period, with fixed amounts based on an Operators performance, payable after a performance review has taken place.

National Statistics on prosecutions and convictions for the second and third quarter of 2020 are due for publication in November 2020 and February 2021, respectively; with detailed offence level data for the whole of 2020 planned for publication in May 2021. Our statisticians are currently considering what suitable data from court management information systems could be gathered and prioritised for quality assurance and publication before then that are related to Covid-19 impacts, including potentially prosecutions for offences under the act. As part of COVID related timetable changes, to protect performance across the network during the pandemic and ensure key workers can continue to move across the network, some Medway Valley services now turn at Paddock Wood, to avoid interactions with Main line services and to reduce the need for unplanned skip-stopping on the Main line.
The services that were removed had an average loading of 5 passengers at Tonbridge; the change has resulted in approximately 12 minutes additional travel time for these passengers. However, the current service delivers an overall significant performance improvement for a much larger number of passengers across the network.
