Company Law Reform Bill [HL]

We support the amendment to which I have added my name. The noble Lord, Lord Freeman, has advanced the arguments in favour extremely well. I would like to add one more: this is a good example of the conflict, which we referred to in a previous amendment, between common law and equitable principles. If the Government want to include Clause 154(4), it would seem that the closer they get in this provision to well recognised principles of common law and equity, the easier it will be for the courts to reduce the amount of litigation that will otherwise ensue.
