Perhaps I may ask a simple question in relation to subsection (2). I note that paragraphs (a) and (b) both apply—the word in line 39 is ““and”” not ““or””—so what happens if the general knowledge, skill and experience of a director falls very far short of the general knowledge, skill and experience that may be reasonably expected of a director?
