Proceeding contribution from Lord Goldsmith (Labour) in the House of Lords on Monday, 6 February 2006. It occurred during Debate on bill and Committee proceeding on Company Law Reform Bill [HL].
Company Law Reform Bill [HL]
Does the noble Lord not think that in those circumstances the director who is approached will say, ““I ought to tell you what my interests in other companies are. Indeed, I understand that they are one of the attractions that I have to you. If I take this up, I need to know that I will get an appropriate authorisation under Section 159(4)(b) of the Company Law Reform Act””. If the directors say, ““We don’t know about that””, he would say, ““Do come back and give me a ring when you’ve realised that you have to give me that authorisation””. Why is that not what he would do?
