Proceeding contribution from Lord Freeman (Conservative) in the House of Lords on Monday, 6 February 2006. It occurred during Debate on bill and Committee proceeding on Company Law Reform Bill [HL].

Company Law Reform Bill [HL]

moved Amendment No. 173:"Page 70, line 13, at end insert—" ““(   )   Conflicts of interest may be authorised by the company’s constitution.”” The noble Lord said: This is another probing amendment. It relates to a comment made earlier by my noble friend Lord MacGregor about existing practice in company law. I would be grateful for the Minister’s comments about whether the amendment would be a useful addition to the facilitation given by the directors in Clause 159. I beg to move.
