Company Law Reform Bill [HL]
I am sorry to intervene but it seems to me that the formulation that the noble and learned Lord has just expressed works for a full-time executive director but does not take account of the role of non-executive directors. I know that the law on non-executive directors is potentially unclear and is certainly not tested to any great extent in the courts, but it seems to me that the reality of modern life is that there are non-executive directors who sit on a number of boards. So the formulation that seems to be driving this legislation is not keeping pace with the modern situation. The Bill is supposed to modernise company law and I hope that we will deal with situations that will arise in practice.
