Company Law Reform Bill [HL]

We can see that this amendment would allow the authentication by companies of communications from members or debenture holders et cetera to operate with more flexibility. We welcome that aim. However, we have practical concerns. How would a company know whether someone signing on behalf of a member was doing so with the authority of the member? The company would only have the signatory’s word for it. That is part of what we need to consider further. Government Amendment No. A208A, which we moved earlier, replaces the current Clause 753, but we agree to consider the noble Lord’s amendment.
