Proceeding contribution from Lord Sharman (Liberal Democrat) in the House of Lords on Wednesday, 1 March 2006. It occurred during Debate on bill and Committee proceeding on Company Law Reform Bill [HL].
Company Law Reform Bill [HL]
moved Amendment No. 300NA:"Page 132, line 2, at end insert—" ““( ) For the purposes of this section, a proxy has the same right to demand a poll as any other member attending the company’s meeting.”” The noble Lord said: The purpose of this amendment is to secure the right of proxies to request a poll at companies’ meetings. Section 372 of the Companies Act 1985 provides proxies with the right to demand a poll at a meeting of the company. That right has not been carried forward into this new provision. If the change is intentional, it would be helpful if the Minister could explain the reasoning behind that. If the omission is unintentional, it clearly needs to be rectified. I beg to move.
